So i wanna take this girl out for dinner as a "thanks" for helping me out with my french course.....how should i say it and tackle her sayin "no u dont hav to or bla bla".

my plan was to ask her to tell me a day she is free and we will go hav dinner just hav fun with no more school stuff because i owe her that much atleast....so n e idea?

Just talk to her, build some rapport as you would talk to any other friend and just tell her to pick a day in the week that you would keep free for the both of you that you could just hang out and grab a bite...

Do not be so blaint about making it romantic... depending on where you take her... counter if she starts asking or even thinking "is this getting romantic" If she say something implying this just counter her and say
"What?? romantic? well stop making it romatic I just like the pasta/fish/pizza here"

If there is a place that you frequent just talk to the people ahead of time and pick a time of day that it's not busy so you can get good service and tip!! Tip the manager and tell him to truly take care of you and your companion for the evening... the VIP service... befriend everyone before hang!!! so you get their attention immidiately and show her that when you want a glass of water... you get it!!
